2008 Memorandum of Agreement

AFFILIATION AGREEMENT

BETWEEN

PHYSICIANS for PEACE

AND

_______________________

THIS COOPERATION AGREEMENT IS MADE AND ENTERED INTO effective this 4th day of April, 2008 by and between Physicians for Peace (PFP) and the ___________, (and hereafter referred to as the “Partner Organization” or “Partner”).

PFP and the Partner Organization desire to facilitate the advancement of burn care treatment and prevention, increasing and developing capacity and capabilities of in-country personnel. All collaborative activities must be agreed upon by both Partners.

The Partners agree as follows:

I. ROLES AND RESPONSIBILITIES

PFP will:
  1. Provide education and training based on identified and prioritized needs.
  2. Provide equipment and supplies in support of these efforts based on availability, priority of need, and as funding and priorities permit.
  3. Facilitate the collection of burn care data.
  4. Collaborate on issues regarding the assessment and evaluation of their burn unit and joint programs to assess the success of mission-based training and the overall progress of the burn care programs.
  5. Facilitate the availability of burn prevention and treatment resource materials.
_____________________________ will:
  1. Provide the lodging, meals, and ground transportation for mutually agreed upon in-country medical missions as planned and executed by PFP on behalf of the Partner Organization.
  2. Collect and report country specific burn related data as required to evaluate the efficacy of mission-based activities.
  3. Work with PFP in advancing and facilitating burn care treatment and prevention.
  4. Share and exchange burn care and prevention materials, information and ideas.

II. DECISION-MAKING

The Partners shall collaborate on activities conducted pursuant to this Agreement and agree to take all reasonable steps needed to best serve both parties in this Agreement.

Each Partner will retain exclusive ownership rights of all intellectual property that each develops independently. Any intellectual property developed jointly will be jointly owned pursuant to the terms of this Agreement.

IV. RESEARCH, EVALUATION, AND ASSESSMENT

The Partners will collaborate on issues regarding the assessment and evaluation of their burn unit and joint programs. The Partners will jointly publish any findings and conclusions pertaining to their research.

V. TERM AND TERMINATION


  1. This Agreement shall become effective from the Effective Date until either Partner seeks to terminate.
  2. This Agreement shall continue in effect unless and until terminated as follows.
    1. Upon written agreement by the Partners.
    2. By either Partner Organization without cause by not less than sixty (60) days prior written notice.
    3. Upon expiration of thirty (30) days from notice by either Partner Organization of a breach which remains un-remedied at the end of the thirty (30) day period.

VI. NOTICE

All notices regarding this Agreement shall be in writing and addressed as follows or to such other address as a Partner Organization may designate in writing accordance with this Section:

VII. PUBLIC ANNOUNCEMENTS; USE OF NAME

Each Partner Organization shall coordinate public announcements and press statements regarding activities provided under this Agreement.

VIII. MISCELLANEOUS

  1. This Agreement constitutes the entire agreement between the Partners, and supersedes and terminates any prior oral or written understandings or agreements between the Partners relating to this subject matter.
  2. Amendments. No change, modification nor termination of any of the terms, provisions or conditions of this Agreement shall be effective unless made in writing and signed by the Partners.
  3. Force Majeure. No Partner Organization will be liable to the other Partner Organization for delays in the performance of this Agreement.

 

AS WITNESS the Partners have caused this Agreement to be executed by their undersigned officials as duly authorized.
